Fast money moves on sale-ready businesses. Most companies aren’t ready.

There is more money chasing lower-middle-market businesses right now than at almost any point in the last decade. And yet buyers keep saying the same thing: they cannot find enough good companies to buy. Both are true at once, and the space between them is where a lot of value is won or lost.

One M&A advisory firm put it bluntly this year: too much capital, not enough quality supply. For the right businesses, it is the most competitive buyer environment since 2021. Another framed it just as plainly: dry powder is not demand. There may be more than a trillion dollars of capital available, but it only gets spent on companies that fit a buyer’s criteria and can carry the debt.

So the flood of capital does not lift every business. It lifts the ready ones. And it walks past the rest.

What “quality” actually means

When buyers and their advisors talk about a high-quality business, they are not talking about headline revenue or even headline profit. They are talking about a specific, checkable set of things: clean earnings that survive scrutiny, revenue spread across many customers, a business that runs on a team and systems rather than the owner, margins that are real and understood, and a credible story about where growth comes from next.

None of that is exotic. But it is also not common. Most lower-middle-market companies are strong in one or two of these areas and exposed in the others. That is exactly why quality is scarce: not because good businesses are rare, but because complete ones are.

The gap is worth real multiple

This is not a soft, feel-good point. It shows up directly in the price. In the lower middle market, the average business trades around seven times earnings. But companies with strong recurring revenue and durable margins command eight to eight-and-a-half times, sometimes more. On a business of any size, that spread is worth millions.

And it is earned entirely by readiness, by being the complete business a buyer competes for rather than the incomplete one they lowball.

Why owners get caught

Quality is not built in a year. Clean financials, diversified revenue, a business that runs without you, these take time. Meanwhile the market has only gotten more demanding. Buyers scrutinize earnings, systems, reporting, customer concentration, and management depth harder than they used to. The companies that prepare early are far better positioned; the ones that wait find out too late that the work needed to happen years before the sale.

The good news hiding in all of this: the same work that makes a business sale-ready makes it a better business to own in the meantime. You do not have to choose. Getting ready to sell and building a stronger company are the same project.
